Shares of Amazon.com [NASDAQ:AMZN] were up 4.4 percent in 
mid-morning  
trading on Tuesday, following the company's announcement 
that it would  
buy two Internet-related companies, PlanetAll and Junglee 
Corp., in 
separate transactions for $280 million in Amazon.com stock.  
 
Amazon.com was up $4.75 at $113 Tuesday morning, although 
the issue 
had traded as high as $114.125 soon after it opened for 
trading on Tuesday. 
 
Cambridge, Mass.-based PlanetAll provides a unique Web-based 
address  
book, calendar, and reminder service at <A 
HREF="http://www.PlanetAll.com"> 
http://www.PlanetAll.com</A> . The 
offering claims 1.5 million members, with "thousands of new 
members" 
joining each day. PlanetAll is described as a secure, free 
service for 
its users to organize and automatically update information 
about  
friends, business associates, relatives, and alumni.  
 
Sunnyvale, Calif.-based Web virtual database (VDB) provider 
Junglee  
Corp. uses technology based on doctoral research by the 
company's  
founders at Stanford University. The VDB helps Web surfers 
choose 
from million of products online that can be found on a 
variety of 
Web sites, officials said. In addition, Junglee technology 
is used 
in the online recruitment arena. 
 
Terms of the deals call for Amazon.com to acquire all of 
both companies' 
outstanding shares and assume all outstanding options of 
Junglee and  
PlanetAll in exchange for equity having an aggregate value 
of  
approximately $280 million. Amazon.com will issue 
approximately 800,000  
shares and assume all outstanding options in connection with 
the  
acquisition of PlanetAll and anticipates accounting for this 
transaction as a 
pooling of interests. In the Junglee deal, Amazon.com will 
issue  
approximately 1.6 million shares and assume all of Junglee's 
outstanding  
options. Amazon.com anticipates it will account for the 
Junglee buy 
under the purchase method of accounting. 
 
Each transaction is expected to close within the quarter, 
subject to  
customary closing conditions. 
 
When Amazon.com announced a net loss that bested Wall Street  
expectations earlier this year, the company also said it 
would buy three  
Net-related companies (Newsbytes, Apr. 27, 1998). The 
bookseller said it  
would acquire Bookpages Ltd., a UK-based online book 
retailer; Telebook,  
an online bookstore concern in Germany; and the Net-based 
Internet Movie  
Database directory site. 
 
At the time, Amazon.com said it expected online retailers 
Bookpages and  
Telebook to become fundamental components of its expansion 
into the  
European marketplace. The Internet Movie Database, meantime, 
would  
support Amazon.com's eventual entry into online video sales, 
company  
officials also said.
